Terms & Conditions
These terms govern quotations, orders and the supply of custom and private-label apparel by Rexo Wear to business customers. Please read them before placing an order.
Effective date:
Scope
These terms apply to every quotation, order and sale between Rexo Wear (“Rexo Wear”, “we”, “us”) and the business customer placing the order (“Buyer”, “you”). They apply in place of any terms in your purchase order unless we agree otherwise in writing. Our products are made to order for business use; these terms are not intended for consumers.
Use of this website is also subject to our Privacy Policy and Cookie Policy.
Quotations
- Quotations are based on the specification, quantities and timing you provide at the time.
- A quotation is valid for the period stated on it or, if no period is stated, 30 days. Prices may be revised if the specification, quantities, materials or exchange rates change before the order is confirmed.
- Unless stated otherwise, quotations exclude import duties, taxes and destination charges.
Orders and confirmation
A contract is formed only when we issue a written order confirmation (including by email) and, where required, receive your deposit. The order confirmation, together with the approved sample and specification, defines what we will supply.
Specifications
- You are responsible for the accuracy of the specifications, tech packs, measurements, artwork, labels and quantities you provide or approve.
- Artwork should be supplied in production-ready formats. We may advise on technical issues, but final approval of artwork and placement is yours.
- You are responsible for ensuring that labelling content (such as fibre composition, care instructions and country-of-origin information) meets the requirements of the countries where you sell, unless we agree in writing to provide that content.
Sampling
- Samples are made to your specification and are charged at the rate stated in the quotation.
- Sample fees and the cost of shipping samples to you are non-refundable, as each sample is produced individually. Where a quotation says so, sample fees may be credited against a confirmed bulk order.
- Bulk production begins only after you approve a pre-production sample in writing. The approved sample becomes the quality standard for the order.
- Additional rounds of sampling requested after the first sample may be charged separately.
Prices, deposits and payment
- Prices are in the currency stated on the quotation or order confirmation.
- Unless agreed otherwise in writing, a deposit is payable before materials are purchased and production begins, with the balance payable before goods are dispatched. The deposit amount is stated on your order confirmation.
- Bank and transfer charges are the Buyer’s responsibility, so that we receive the full invoiced amount.
- We may pause production or hold dispatch while any payment is overdue.
Production and lead times
- Lead times are given in good faith and run from the later of sample approval, receipt of the deposit and receipt of all information we need. They are estimates, not guaranteed dates, unless expressly agreed as such in writing.
- Delays caused by late approvals, changes, late payment or Buyer-supplied materials extend lead times accordingly.
- We will tell you promptly if we expect a delay and agree the next steps with you.
Changes and cancellations
- Changes after order confirmation must be agreed in writing and may affect price and lead time.
- Because goods are made to order, an order may not be cancelled once materials have been purchased or production has begun, except by agreement. If an order is cancelled, you will pay for work completed, materials purchased or committed for the order, and any reasonable costs incurred. These may be deducted from the deposit.
Tolerances
- Quantity: delivered quantities may vary by up to 5% per style and colour, which is normal in garment production. You will be invoiced for the quantity actually shipped.
- Measurements: industry-standard measurement tolerances apply unless your specification sets different tolerances.
- Colour: slight shade variation between dye lots, between fabrics, and between screens and physical goods is normal. Colour is matched to approved lab dips or samples, not to on-screen colours.
Inspection and quality claims
We inspect goods against the approved sample and specification before dispatch. You may arrange your own or a third-party inspection before shipment at your cost, with reasonable notice. Claims for defects or shortages must be made in writing within 14 days of delivery, as set out in our Refund & Returns Policy.
Shipping, Incoterms and risk
- Goods are shipped on the Incoterms® rule stated in the order confirmation (for example EXW, FOB, CIF or DDP). The Incoterms rule determines when risk passes to you and who pays for freight, insurance, duties and taxes.
- Title to the goods passes to you when we have received payment in full.
- See our Shipping Policy for more detail.
Intellectual property
- You keep ownership of your designs, artwork, logos, trademarks and tech packs. You grant us a limited licence to use them only to quote for and produce your orders.
- You confirm that you have the right to use everything you ask us to reproduce, and that doing so does not infringe anyone else’s rights. You agree to indemnify us against claims arising from material you supply.
- We will not sell goods bearing your branding to anyone else, or reuse your exclusive designs for other customers. Patterns, techniques and know-how we developed independently remain ours.
- We may decline any order that we believe infringes third-party rights.
Confidentiality
Each party will keep the other’s confidential business information, including designs, pricing and customer details, confidential and use it only for the purposes of the order. We are happy to sign a mutual non-disclosure agreement on request.
Warranties and liability
- We warrant that goods will conform in all material respects to the approved sample and specification at the time of delivery. Your remedies for non-conforming goods are set out in our Refund & Returns Policy.
- To the extent permitted by law, we are not liable for indirect or consequential loss, including loss of profit, revenue, business or goodwill.
- To the extent permitted by law, our total liability arising from an order is limited to the price paid for the goods concerned.
- Nothing in these terms limits liability that cannot be limited by law.
Force majeure
Neither party is liable for delay or failure caused by events beyond its reasonable control, such as natural disasters, epidemics, war, civil unrest, government action, power or utility failure, strikes or failures of carriers and suppliers. The affected party will notify the other promptly and take reasonable steps to limit the impact.
Governing law
These terms and any order are governed by the laws of Pakistan. The parties submit to the jurisdiction of the courts of Pakistan, and will first try in good faith to resolve any dispute through discussion.
General
- If any provision is found unenforceable, the rest remains in effect.
- A failure to enforce a right is not a waiver of it.
- Neither party may transfer its rights under an order without the other’s written consent.
- We may update these terms. The version in force when your order is confirmed applies to that order.
